We assist our business clients with financing, restructuring, and organizational governance. We prepare and negotiate commercial documents including joint venture agreements, employment agreements, partnership / shareholder / member agreements, intellectual property agreements, restrictive covenants, dissolution / separation agreements, and other contracts. We also handle litigation of corporate matters.
We know our corporate clients are faced with issues far beyond those traditionally considered “corporate” issues. Accordingly, we offer counsel on related issues including tax planning, intellectual property, and compliance with state and federal laws and regulations.
Franchises
Our attorneys represent franchisors and franchisees in corporate, financial services, labor and employment, real estate matters, and also litigation. We handle franchisee terminations, royalty issues, and antitrust claims. We also represent franchisors and franchisees in personal injury and economic loss cases.
Banking
We provide counsel to one of the largest banks in New Jersey.
Our retired partner, Stephen B. Wiley, handled the formation of the First Morris Bank and Trust, one of the largest banks in Morris County more than 30 years ago. We served as General Counsel to, and was the exclusive firm serving First Morris Bank and Trust’s legal needs until it was sold to The Provident Bank in 2007. Since the sale, we have handled a variety of matters for The Provident Bank. As such, we have considerable experience with the multitude of issues facing the banking industry. We provide a variety of services to address the specialized needs of banks. The firm handles commercial litigation, including lender liability disputes, workouts, and foreclosures. We can help with adoption, formation, and modification of bank policies and procedures. We counsel clients with compliance issues on the state and federal levels. We also can provide assistance with the purchase, sale, and operation of branches. For a number of years, we also were local counsel to the Federal Deposit Insurance Corporation.
This firm also handles an array of lending work that includes land acquisition, construction, and permanent loans, asset-based financing, and revolving credit agreements. For these transactions we prepare loan documents, review and resolve title matters, and address government compliance issues.
We routinely represent individuals and companies in loan transactions throughout the State and handle collection matters of every degree of complexity.
